This course aims at providing an overview of Belgian company law, including non-profit associations.
Part I : general company law. This part deals with the common core of Belgian company law, which governs all companies, from partnerships to public limited companies. Special attention is devoted to the legal entity concept, the creation of a company, its management, the rights and duties of members and its dissolution. The first part also contains a typology of the various companies, non-profit associations and foundations according to Belgian law.
Part II : special company law. This part of the course deals with limited liability companies, both private and public. Main topics are the concept of limited liability, capital (formation and protection), specific rules regarding governance and representation of the limited liability company and the rights and duties of shareholders and other stakeholders. Further attention is devoted to general accounting principles, dissolution, mergers and divisions and the regulation of disputes among shareholders (including squeeze-outs).
